Agreement to Terms
By accessing or using WareSquared's warehouse management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
Description of Service
WareSquared provides a cloud-based warehouse management system that enables businesses to manage inventory, orders, customers, and warehouse operations. The Service includes:
- Inventory management and tracking
- Order processing and fulfillment
- Customer relationship management
- Warehouse location and lot tracking
- Reporting and analytics
- AI-powered features (where applicable)
Account Registration
To use our Service, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Be at least 18 years old or have legal capacity to enter into binding contracts
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Subscription and Billing
Subscription Plans: We offer multiple subscription tiers with different features and pricing. Your subscription will automatically renew at the end of each billing period unless you cancel.
Payment: You agree to pay all fees associated with your subscription plan. All payments are processed securely through our third-party payment processor. We accept major credit cards and other payment methods as specified.
Refunds: We offer a 30-day money-back guarantee for first-time subscribers. After 30 days, fees are non-refundable except as required by law.
Price Changes: We reserve the right to modify our pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new prices.
Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to transmit malware, viruses, or harmful code
- Reverse engineer, decompile, or disassemble the Service
- Share your account credentials with others
- Use the Service to compete with WareSquared
Data Ownership and License
Your Data: You retain all rights to the data you input into the Service. We claim no ownership over your business data, inventory information, or customer data.
License to Us: You grant us a limited license to use, store, and process your data solely to provide and improve the Service.
Data Export: You may export your data at any time in standard formats (CSV, JSON) through the Service interface.
Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:
- Perform scheduled maintenance with advance notice
- Implement emergency updates without notice
- Suspend access in case of security threats
Intellectual Property
The Service, including all content, features, and functionality, is owned by WareSquared and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
Termination
By You: You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.
By Us: We may terminate or suspend your account immediately if you breach these Terms, without prior notice or liability. We may also terminate your account with 30 days' notice for any reason.
Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days after termination, during which you may export your data. After 30 days, your data may be permanently deleted.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARESQUARED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months prior to the claim.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Indemnification
You agree to indemnify and hold harmless WareSquared and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the United States.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
